Terms and Conditions Working for R pro decorators as a sub-contracting worker
This agreement is to confirm that the herein named person on this Terms and Conditions for R pro decorators agrees to the below standard terms and conditions, whilst engaged by, and working as, a sub-contracting worker, for and on behalf of R PRO Decorators and is it also agreed that the above stated sub-contractor has a clear understanding of the laid down terms and conditions and thus agrees with the outlined terms & conditions stated in this document.
Tax, national insurance, pension, sickness, holiday
Tax, National Insurance, Pension, Sickness, Holiday
The above named person is fully responsible for their own individual tax and national insurance payments, and are to inform HMRC of their own works and income derived from any contract working on behalf of, or for R PRO Decorators by mean of a self-assessment return. R PRO Decorators is ONLY responsible for paying tax payments on amounts that have been deducted from you under the rules of the Construction Industry Scheme. R PRO Decorators does not have a responsibility for paying national insurance, pension, sickness, holiday pay for the above-named person as they agree and are fully aware and have a clear understanding that they are engaged as a sub contract worker for R PRO Decorators and understand they are not thus an “employed worker” for R PRO Decorators. When working as a sub-contractor R PRO Decorators will let you know when work has been booked in and also to see if you are available to work on the Job for R PRO Decorators if required.
The above also applies to any works carried out in scenarios where you may work alongside R Pro Decorators and not in a subcontractor capacity.
Public liability insurance
The above name person is fully responsible for their own public liability insurance. When engaged by and working for R PRO Decorators they must have full liability insurance cover of their own for any work undertaken, which R pro decorator’s puts you forward for and requests you to engage with. If you do not have your own public liability insurance you must not commence work, until you have provided a current insurance cover document. Should this be unavailable you should state /confirm you cannot work at that point in time until suitable insurance confirmation is provided.
You are to supply R PRO Decorators with a copy of your own public liability insurance. This agreement form is also to confirm that should at any time whilst you are engaged in work with R PRO Decorators, if any claim is subsequently at any time made against R pro decorators, due to “alleged” faulty workman ship, or similar, or your being accused of causing any damages whilst working for a client, or any other issues considered by the client as a “problem” whilst engaged working, which you have allegedly made to any clients or businesses, resulting in a possible claim being considered or issued against R PRO Decorators, you will by signing this agreement undertake and agree to be fully responsible for your own actions and work standards, and for the lodged claim if issued which the client customer may lodge against R PRO Decorators. Instead any claim relating to your works/actions must in fact be lodged against your own insurance company and not R PRO Decorators policy. This is understood and agreed by the above-named person. Should a claim be lodged, at that point your insurance details and public liability insurance details will be passed onto the client / business so they can deal directly with yourself and your own insurer, over the alleged issue and potential claim. R PRO Decorators accept no responsibility for your own work [s] and any claim made due to your workmanship is to be processed under your own policy as clearly stated above and agreed herein.
Work issues and responsibilities
In the event of a customer contacts us concerning paint issues, [that is not considered to be a product fault] but relates to application and / or workmanship of the job you have worked on, you are to rectify the stated problem, if this is already work that you are being paid for, or that you are due to be paid for. No extra costs will fall on or be paid by R PRO Decorators, as this is already forming part of your job specification when engaged and working as a sub-contractor on a specific contract. If you damage or create a fault, also paint marks or any other damage to customer’s property, then you solely are responsible for your own workmanship. In the event of your creating problems for R PRO Decorators due to your time keeping /and / or workmanship/or loss of contract/ then R PRO Decorators have the right to claim the damages/or payment loss due to your workmanship or problems emanating from and caused by your own issues.
Business confidentiality for R PRO Decorators
This is to confirm that the operating and running of R PRO Decorators, marketing, clients, businesses, payments, your pay rate, all operations are not to be discussed or shared to any other Business /client / customer/ competitor / social media sites in any manner at any time, and that all customer and Business details is considered at all times strictly confidential. Whilst working as a sub-contractor, you are to follow the Business confidentiality conditions, for all customers and the business details which belong solely to R PRO Decorators, are the sole property of the owner of the company (R PRO Decorators).Thus, if at any time the above named steals, copies, forwards any details of customers or businesses, or any other data relating to the company, this will considered and classed as stealing of the company data, and court proceedings and prosecution would result and follow. Also, the above named is not to attempt at any time to undercut or try and deal with any customer direct while working as a sub contactor for R PRO Decorators, or attempts to approach directly the same clients under your own manner for up to 2 years from working with R PRO Decorators at that location. This condition runs for 2 years from the date should you leave as a sub-contractor from R PRO Decorators. If you choose not to be a sub contract for R PRO Decorators any time the Business confidentiality conditions stated herein remains the same under this terms and conditions agreement.

This is to confirm that if at any time for any occasion, any photo or video is taken of you whilst working, for promotional reasons, that R PRO Decorators can use the said photos / videos for any form of advertising at any time to enhance and promote the company, furthermore should you subsequently no longer work as a sub-contractors for R PRO Decorators the said photos/ videos will not be removed and remain with R Pro decorators;
Social Media
The named person above is never at any time to quote R PRO Decorators using any images, logos, wording, company related documents of R PRO Decorators on their own personal social media site at any time during working as a sub-contracting worker or after, in either a good or bad light.
Working as a sub-contracting work standard for R PRO Decorators
Standards for Working as sub-contracting engagements for R PRO Decorators
Whilst working as a sub-contractor you are not to ever engage in the under listed following issues;
Not to ever engage or make any negative comments to the customer about them, or their property; Not to smoke in front of them at any time, not to swear whist at work; Not to leave any tools etc in a dangerous position for the customer to hurt them self’s; Not to leave the property or location of work messy or untidy; R PRO Decorators is maintaining a high standard for all customers and you are to have an excellent and outstanding high performance of all your work; it is to be maintained at a high standard throughout and you are to check your own work during and after each day finishes, when under taking any job for R Pro Decorators; R Pro Decorators has paid to be registered and has, and continues to be vetted for the standard of work we undertake at all times. R Pro Decorators can have an assessor check and appraise any contract of work that R Pro Decorators are engaged upon at any time, and therefore all and any working subcontractor falls under that condition of ongoing inspection if required at any time during work in progress; In the event of the assessor checking such work and it is found to be wanting in any manner, or the inspection fails, the subcontractor will be liable for R Pro Decorators registration fee if such work faults result in R Pro decorators removal from registration due to the inspected poor standard of work, furthermore should the work require rectifying due to your poor standard of workmanship then again the sub-contractor will be liable;
Payment
When payment to R PRO Decorators has been made in full from the customer/ client / business and the agreed work and contract has been successfully completed then the agreed amount will at that point be paid to the above name person, under this terms and conditions agreement, payment in full to the above named, via either the sub- contractors bank account transfer or cash. Should payment have not been received from the customer/ client/ business to R Pro decorators, than at that point in time, NO payment from R PRO Decorators will be made to the above named until received from the client. If there is any “dispute” at that point this must be resolved before the above named is then subsequently paid by R PRO Decorators. Furthermore on completion of any contract/ work/ and when paid in full by the client, a relevant and agreed invoice from the above named person [of this terms and conditions document] is to be immediately handed to or sent to R PRO Decorators so payment can be made to the sub-contracting worker without any undue delay.
Safety
When working as a sub-contracting worker for R PRO Decorators you are fully responsible for your own personal Protection (PPE) and safety of all others around you while working including the clients if applicable. You are to provide your own First Aid Box and safety equipment and protections while working. PPE is to be worn whilst working on any contract from commencement through to end of your day. R PRO Decorators has no liability, nor can be held responsible for your own personal safety while working, you are never to work under the influence of drugs, alcohol, or whilst under any personal injury, or serious medical condition;
Tools / personal belongings / personal safety
R PRO Decorators has no liability, nor can be held responsible for your own storage of any tools / personal belongings on site which you either own or use. All your tools that you own you have a “duty of care” and are responsible for at all times, whilst being on site of any contracted works. Any tools which you might borrow as a gesture of goodwill from R PRO Decorators you would be fully responsible for at all times, for the safety and if they are lost, stolen, broken, or damaged, you will be fully responsible for replacement as new for the same item / items as a replacement.
Private work
‘Private work’ is deemed as works which have no connection to or with R Pro decorators or works that may be carried out alongside R Pro where the customer pays you direct, If you at any time undertake any private work R Pro decorators takes no responsibility for that work, the payment or your own tax and national insurance. You are never to undertake any extra private work which may affect R PRO Decorators operations, or the standard of workmanship or standard of your performance whist on a R PRO Decorators contracted job; Such private work in addition to working with R Pro decorators, would cause underperformance, mainly due to being extra tired from working on any of your own “private work” at the same time as being engaged by R Pro decorators; If you buy products from R Pro decorators supplier you are to pay in full for the purchased items and ensure you put your name and private work as the reference, so this does not interfere with or cause a complication with the accounts and book keeping for R Pro decorators.
Mobile phones & smoking
Mobile phones are not to be used during work hours / and working shifts, only prior to commencing any shift, alternatively when work has finished;
Smoking / and/or/ vaping is only permitted during breaks and certainly not at any other time during work and must be avoided in fount of the customer
Photos
Before you start work you are required to take photos of the work at customers and /or business premises before starting / then during and subsequently the finished worked completed.
Materials (paint, sandpaper, filler etc.)
R PRO Decorators will supply materials for the works contract from an independent supplier. The subcontractor is responsible for the safety and storage whilst on any works. Any items missing will be charged to you or will be classified as theft or deducted from any final payment to you for the work input by yourself.
End of contract or working day
It is your responsibility to keep the site/homes/ contract working area clean during working and as you go, leaving all sites/home/business safe, clean and in good state for all customers/business and in the correct manner for all customers/business at the end of each day and in addition at the End of each contract.
Terminations
R PRO Decorators has the right to terminate you during any job or at any time as a sub-contractor and this agreement confidentiality conditions stated herein remains the same under this terms and conditions agreement.
Notice of Termination by Sub-Contractor
- Notice Requirement
The Sub-Contractor shall provide a minimum of [14 / 21 / 28] days’ written notice to R Pro Decorators of their intention to terminate this agreement. - Completion of Ongoing Works
Where reasonably practicable, the Sub-Contractor agrees to continue working until the completion of any ongoing job or project to which they are assigned at the time notice is given, or until a suitable handover has been completed, as directed by R Pro Decorators. - Early Termination
If the Sub-Contractor is unable to complete an ongoing project during the notice period, they must:- Provide reasonable justification, and
- Cooperate fully to ensure an orderly handover of work, materials, and site information.
- Company Rights
R Pro Decorators reserves the right, at its discretion, to:- Waive part or all of the notice period, or
- Reassign or terminate the Sub-Contractor immediately where continuation of works is not reasonably practicable.
- Effect of Termination
Termination of this agreement shall not affect any rights, obligations, or liabilities accrued prior to the termination date.
Times Sheets
If a company is required to have time sheets, you are to fill in the correct information and submitted the time you have worked, so this can be used for other companies’ policies and procedures.
R Pro Decorators branding / T Shirts / boards etc
Any R Pro decorators branding t shirts/ jumpers /coats / boards etc remains the owners of R Pro Decorators and is not part of a uniform for the subcontractors, it is to be used to help promote the business and create more work to come into R Pro decorators. If you no longer work for R Pro decorators you are to hand back any branding or you will be charged for items missing. When working you are to remain presentable to any clients. You are not permitted to wear any of R Pro Decorators branding or say you work as a subcontractor to get private work under the R Pro Decorators brand to benefit yourself.
R Pro Decorators Recycling scheme
R Pro decorators is under a professional scheme for recycling, for used paint tins, we have to follow guide lines to be registered as a professional business for recycling. Please make sure you do the following when working as a sub contractor for R Pro decorators. Sent as new document. To be signed by sub-contractor.
Non-Solicitation, Non-Circumvention & Client Protection
- Client Ownership
All clients, prospective clients, and site contacts introduced to the Sub-Contractor by R Pro Decorators shall remain the sole business relationships of R Pro Decorators. - Restriction on Direct Contact
The Sub-Contractor shall not, whether directly or indirectly, without the prior written consent of R Pro Decorators:- Provide personal contact details (including but not limited to telephone numbers, email addresses, or social media accounts) to any client of R Pro Decorators
- Encourage or permit direct communication with a client outside authorised business channels
- Accept, quote for, or undertake work directly for any client introduced by R Pro Decorators
- Engage in any activity intended to circumvent R Pro Decorators in relation to present or future works
- Client Requests
Where a client requests personal contact details or proposes direct engagement, the Sub-Contractor must immediately refer the client back to R Pro Decorators and notify the Company without delay. - Breach
Any breach of this clause shall constitute a material breach of contract and may result in immediate termination of the Sub-Contractor’s engagement. R Pro Decorators reserves the right to seek recovery of any losses suffered as a result of such breach. - Post-Termination
The obligations contained within this clause shall continue to apply for a period of 12 months following termination of the Sub-Contractor’s engagement, regardless of the reason for termination.
Data Protection & GDPR Acknowledgement
- Data Protection Compliance
The Sub-Contractor acknowledges that, in the course of providing services to R Pro Decorators, they may have access to personal data relating to clients, customers, suppliers, or employees. - GDPR Obligations
The Sub-Contractor agrees to comply at all times with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. - Use of Data
Personal data shall be:- Used solely for the purpose of carrying out services on behalf of R Pro Decorators
- Not disclosed, retained, copied, or used for any other purpose
- Not stored beyond the duration of the engagement unless expressly authorised in writing
- Data Deletion
Upon termination of this agreement, or upon request, the Sub-Contractor shall permanently delete all personal data and business information relating to R Pro Decorators and its clients, in accordance with the Data Deletion & Confidential Information clause. - Breach Notification
The Sub-Contractor shall immediately notify R Pro Decorators of any suspected or actual data breach, loss, or unauthorised access to personal data.
Confidentiality & Non-Disclosure
- Confidential Information
For the purposes of this agreement, “Confidential Information” includes (but is not limited to):- Client and customer details
- Pricing, quotations, and commercial terms
- Work schedules, methods, and processes
- WhatsApp groups, communications, photographs, and site information
- Any information reasonably regarded as confidential relating to R Pro Decorators
- Non-Disclosure
The Sub-Contractor shall not, during or after the term of this agreement, disclose, share, or make use of any Confidential Information for their own benefit or for the benefit of any third party, without prior written consent from R Pro Decorators. - Survival
This confidentiality obligation shall survive termination of the agreement without limitation in time.
Breach & Liquidated Damages
- Material Breach
Any breach of the Non-Solicitation, Data Protection, or Confidentiality provisions of this agreement shall constitute a material breach of contract. - Liquidated Damages
In the event of a proven breach, the Sub-Contractor agrees that R Pro Decorators shall be entitled to recover liquidated damages of £[1,000–£15,000 plus] per breach, representing a genuine pre-estimate of loss, including loss of business, goodwill, and administrative costs. - Further Rights
Payment of liquidated damages shall not limit R Pro Decorators’ right to:- Terminate the agreement immediately
- Seek injunctive relief
- Recover additional losses where applicable
Declaration of Legal & Regulatory Status
- Declaration
By signing this agreement, the Sub-Contractor confirms that, to the best of their knowledge and belief, they:- Have no unspent criminal convictions which would prevent them from lawfully carrying out the services under this agreement
- Are not currently subject to any criminal proceedings, investigations, or charges that would materially affect their ability to perform the services
- Are legally entitled to work in the United Kingdom
- Ongoing Obligation to Notify
The Sub-Contractor agrees to promptly notify R Pro Decorators in writing if, during the term of this agreement, any matter arises which may:- Result in a criminal charge or conviction, or
- Otherwise materially affect their suitability, safety, or ability to carry out works on client sites
- Company Rights
Where notification is provided under this clause, R Pro Decorators reserves the right to:- Conduct a risk assessment, and
- Suspend or terminate the engagement where reasonably necessary to protect clients, reputation, or business operations
- Misrepresentation
Any false declaration or failure to notify under this clause shall constitute a material breach of contract.
Alcohol, Drugs & Fitness for Work
- Fitness for Work
The Sub-Contractor shall ensure that they are fit for work at all times while carrying out services for R Pro Decorators, including being capable of performing duties safely, competently, and professionally. - Alcohol & Drugs
The Sub-Contractor shall not:- Attend any work site under the influence of alcohol
- Attend any work site under the influence of illegal drugs
- Misuse prescription or over-the-counter medication in a manner that may impair their ability to work safely
- Zero Tolerance on Site
R Pro Decorators operates a zero-tolerance approach to alcohol and drug impairment while on duty or on client premises. - Right to Remove from Site
If R Pro Decorators reasonably believes that a Sub-Contractor is unfit for work due to alcohol, drugs, or impairment, the Company reserves the right to:- Remove the Sub-Contractor from site immediately
- Suspend or terminate the engagement without notice where safety or reputation is at risk
- Breach
Any breach of this clause shall constitute a material breach of contract.
